REGISTRATION, USER ID, PASSWORD AND SECURITY

In order to obtain access to the membership database (the "Database") you must obtain a user ID and password from the Petroleum Club of Anchorage ("PCA"). You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify PCA of any unauthorized use of your account or any other breach of security. PCA will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. You may not use anyone else's account at any time, without the permission of the account holder.

PRIVACY

PCA is committed to protecting your privacy. This privacy statement explains data collection and use in connection with your use of the Database. This privacy statement only applies to this Database; it does not apply to other online or offline Petroleum Club web sits, products or services.

Collection and Use of Member Data in PCA Online Database. As an authorized user of this Database, it is your responsibility to ensure that you are in compliance with any and all relevant laws, rules and regulations in effect in your jurisdiction governing the collection, storage and use of the personal information of third parties, including, where necessary, registering as a data controller with the appropriate authority.

You also agree that you will comply with all Petroleum Club rules and regulations governing the commercialization and circularization of Petroleum Club membership information.

MODIFICATION OF THESE TERMS OF USE

PCA reserves the right to change the terms, conditions, and notices under which this Database is made available to you. You are responsible for regularly reviewing these terms and conditions and additional terms posted on the Database. Your continued use of the Database constitutes your agreement to all such terms, conditions, and notices.

LIMITED RIGHT TO USE

As an authorized user of this Database, you are granted a limited, non-exclusive license to use the Database and the contents herein.

OWNERSHIP

All software, design, text, images, photographs, illustrations, audio clips, video clips, artwork, graphic material, and any other copyrightable material that is contained on this Database, including the selection, coordination and arrangement thereof (the "Material"), are the property of PCA, and are protected, without limitation pursuant to U.S. and foreign copyright and other applicable laws. You may access the Database and use the Material for noncommercial and personal use only provided that you maintain all copyright and other notices contained in such Material. You agree not to reproduce, modify, create derivate works from, display, perform, publish, distribute, disseminate, broadcast or circulate any Material to any third party (including, without limitation, the display and distribution of the Material via a third party website) without the express prior written consent of PCA. The foregoing prohibition includes, but is not limited to, the practice of embedding pages from the Database in "frames" running from other sites, and "mirroring" content from the Database on a server other than that operated by PCA. You further agree that you will not disassemble, decompile, reverse engineer or otherwise modify the Material in any way at any time. Any unauthorized or prohibited use may subject the offender to civil liability and criminal prosecution under applicable federal and state laws.

LINKS TO THIRD PARTY SITES

The Database may contain images of and links to third party Web sits ("Linked Sites"). The Linked Sites are not under the control of PCA and PCA is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. PCA is not responsible for webcasting or any other form of transmission received from any Linked Site nor is PCA responsible if the Linked Site is not working appropriately. PCA is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by PCA of the site or any association with its operators. You are responsible for viewing and abiding by the privacy statements and terms of use posed at the Linked Sites.

Any dealings with third parties included within the Database or participation in promotions, including the delivery of and the payment of goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between you and the third party. PCA shall not be responsible or liable for any part of any such dealings or promotions.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the Database, you will not use the Database for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Database in any manner that could damage, disable, overburden, or impair this Database or any other Petroleum Club website (or the network(s) connected to any of these sites) or interfere with any other party.s use and enjoyment of this Database or any other Petroleum Club website. You may not attempt to gain unauthorized access to the Database, other accounts computer systems or networks connected to the Database, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Database. You will use the Database only for purposes consistent with the purpose of membership in PCA. Upon demand of PCA you agree to discontinue use of the Database and purge all records of any type containing information obtained by or through the Database.

STORAGE SPACE AND OTHER LIMITATIONS

You agree that PCA may establish limits concerning the maximum disk space that will be allotted on PCA's servers on your behalf either cumulatively or for any particular service, such as for storing digital photographs and member data. You acknowledge that the features, parameters (for example, the amount of storage available to users) or existence of the Database may change at any time.

PCA MAKES NO WARRANTY THAT THE DATABASE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE.

TERMINATION

PCA reserves the right, in its sole discretion, to terminate or suspend your access to the Database at any time, without notice if you engage in unlawful or prohibited behavior or otherwise misuse member data in contravention of Petroleum Club policy.

LIMITATIONS OF LIABILITY

PCA MAKES NO REPRESENTATION ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, LACK OF VIRUSES OR OTHER HARMFUL COMPONENTS AND ACCURACY OF THE SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED WITHIN THE DATABASE FOR ANY PURPOSE. ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED .AS IS. WITHOUT WARRANTY OF ANY KIND. PCA DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, TITLE AND/OR NON-INFRINGEMENT. YOU SPECIFICALLY AGREE THAT PCA SHALL NOT BE RESPONSIBLE FOR UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, ANY MATERIAL OR DATA SENT OR RECEIVED OR NOT SENT OR RECEIVED THROUGH THE DATABASE OR PCA ONLINE. YOU SPECIFICALLY AGREE THAT PCA IS NOT RESPONSIBLE OR LIABLE FOR ANY THREATENING, DEFAMATORY, OBSCENE, OFFENSIVE OR ILLEGAL CONTENT OR CONDUCT OF ANY OTHER PARTY OR ANY INFRINGEMENT OF ANOTHER.S RIGHTS, INCLUDING INTELLECTUAL PROPERTY RIGHTS. IN NO EVENT SHALL PCA BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR THE INABILITY TO USE EQUIPMENT OR ACCESS DATA, LOSS OF BUSINESS, LOSS OF REVENUE, INCLUDE, CONTRIBUTIONS OR PROFITS, BUSINESS INTERRUPTION OR THE LIKE), ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE DATABASE, WITH THE DELAY OR INABILITY TO USE THE DATABASE, OR OTHERWISE ARISING OUT OF THE USE OF THE DATABASE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF PCA OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE DATABASE, OR WITH ANY OF TERMS OF THIS AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE DATABASE.

GENERAL

(a) This Agreement shall be governed by the internal laws of the State of Alaska, without giving effect to principles of conflict of laws. You hereby consent to the exclusive jurisdiction and venue in the Superior Court for the State of Alaska, Third Judicial District at Anchorage, or the United States District Court for the District of Alaska at Anchorage, and at no other court or location.

(b) This Agreement contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understanding, whether oral or written. You agree that any varying or additional terms contained in any purchase order or other written notification or document issued by you in relation to the Database shall be of no effect. The failure or delay of PCA to exercise any of its rights under this Agreement or any breach of this Agreement shall not be deemed a waiver of those rights or of the breach.

(c) If any provision of this Agreement shall be held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible and the remaining provisions of this Agreement will remain in full force and effect.

(d) You agree to indemnify and hold harmless PCA, its parents, subsidiaries, affiliates, officers and employees and assigns, from any claim, demand, or damage, including reasonable attorneys. fees, asserted by any third party due to or arising out of your use or conduct on the Database.

(e) A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
